SENIOR CORPORATE OFFICER (M/F)
THE JOB:
DO Recruitment is delighted to support this prestigious PE firm it the recruitment of a Corporate Officer for the central administration of its regulated entities. Reporting to the Corporate Manager in charge of administration, the Corporate Officer shall be based in the Luxembourg City-Centre office and be involved primarily in the day-to-day operational duties of the AIFM administration function.
• Provide company secretarial and corporate governance services to the AIFM and the alternative investment funds it manages;
• Coordinate and liaise effectively with the other teams (accounting, compliance, tax, etc.) and make sure that the corporate governance for the AIFM and the Funds is in line with laws, regulations, and best practice;
• Organise and prepare board/shareholder/conducting officers’ meetings of the AIFM;
• Preparation of board packs and drafting of board minutes, proxies, convening notices, minutes of shareholder meetings, written resolutions, agreements and all legal documents as may be required;
• Arrange for and supervise incorporations, corporate/fund lifecycles, and liquidations as well as the creation/update of shareholders’ and other registers, bank account openings, etc;
• Active involvement in the set-up of new Funds;
• Active involvement in internal and external audits and the in the preparation/review of the regulatory/compliance reporting;
• Active involvement in the update of the AIFM’s policies and procedures, including the implementation of new policies, procedures and checklists;
• Arrange for filing with RCS and RBE, ordering documents and verification of information on the LBR website.
THE PROFILE:
• Legal education or equivalent;
• At least 2 years of professional experience in a similar position in a Luxembourg Law firm, trust or Manco/AIFM;
• Good knowledge of the Luxembourg law on commercial companies as well as regulated structures and knowledgeable on the AIFMD;
• Experience in the management of an AIFM or Private Equity Funds will be an asset;
• Fluent in English and French both written and oral;
• Excellent communication skills and genuine team player;
• Strong analytical and organisational skills;
• Dynamic, hands-on, and self-starting;
• Ability to work independently, handle multiple tasks and meet deadlines.
