CORPORATE SECRETARY OFFICER (M/F)

THE JOB:
Join a forward-thinking organization as a Corporate Secretary Officer, where you will assist the Credit Team with corporate secretarial and legal matters across multiple jurisdictions, while supporting the AIFM in preparing board minutes.
Key Responsibilities:
-Assist managers with legal matters related to fund vehicles, including preparation and review of legal documents, signing processes, and related tasks.
-Draft and maintain minutes for board and shareholder meetings of the fund vehicles and AIFM.
-Manage and update corporate records, including legal instruments and share registers.
-Coordinate with external parties, such as lawyers, banks, and notaries, to assist in establishing new fund structures.
-Handle ongoing KYC requests and ensure compliance with internal procedures.
-Track and monitor regulatory filings for funds and SPVs.
-Facilitate closing and signing processes by liaising with internal teams and external legal advisors.
-Provide additional support and contribute to the team’s operational efficiency.
THE CANDIDATE PROFILE:
-3-6 years of experience in a similar role, including drafting minutes, coordinating closings, and setting up Luxembourg structures.
-Fluency in English (both written and verbal); proficiency in French is a plus.
-Strong knowledge of Luxembourg laws and regulations applicable to Alternative Investment Fund structures, including AIFMD and AML/KYC requirements.
-High proficiency in Microsoft Outlook and Word.
-Proactive, autonomous, and detail-oriented with excellent organizational skills.
-Strong communicator capable of working with diverse internal and external stakeholders.
-Team player with a flexible and collaborative mindset, particularly during high-pressure periods.
-Willing to take on a wide range of tasks and work closely with teams based in multiple locations.
