LEGAL AND ADMINISTRATIVE OFFICER LUXEMBOURG (M/F)

THE ROLE:
The role is open in the framework of a growth of business. The individual will organise all company/fund related administrative matters and will provide a strong support to all transactions done within the Group.
The main responsibilities involve tasks in the following areas:
Administration:
• Management of the incorporation and the administration of the Luxembourg companies.
• Maintenance of the statutory records of the Luxembourg companies.
• Maintenance of Shareholder’s registers.
• Maintenance of the records of the Luxembourg companies with the Luxembourg R.C.S.
• Documentation of capital increases/decreases of domiciled companies and subscriptions and redemptions of funds.
• Filing, listing and tracking of corporate documents.
• Arrangement, preparation and documentation of Board meetings and AGMs.
• Preparation of PoAs and other reporting documents.
• Assisting in the liaison with banks to keep records up-to-date and to ensure investments/divestments are managed smoothly and promptlyCoordinate bank account openings and changes in signatory rightsAssisting in year-end procedures for internal and external audit (preparation of documents, confirmation of balances…).
• General correspondence with clients and 3rd parties.
• Assisting in the preparation and filing of financials, tax returns and other statutory requirements.
• Maintenance of the company database.
• Support of PE-Activities of the Group.
• Collect and update KYC documentation.
Operations:
• Organise initial and ongoing due diligence of delegates.
• Manage ongoing due diligence of delegates.
• General assistance and support to the Luxembourg office.
Other:
• To take over board membership in holding companies.

THE CANDIDATE PROFILE:
• University Degree ideally in law, economics, finance, or similar.
• 3+ years of experience in a similar role.
• Experience in the Fund Industry in Luxembourg.
• Detailed knowledge of corporate secretary tasks and Luxembourg corporate law.
• Excellent communication and coordination skills.
• Able to adhere to tight deadlines.
• Self-starter with good self-organization who can work with minimum supervision.
• Law firm experience would be an asset.
• Fluent in Luxembourgish, English and French, Knowledge of Italian/Spanish would be an asset.
• Experience in AML/CTF measuresFluent in English and French, Knowledge of Italian/Spanish would be an asset.

Our client is a leading investment group located in the heart of Luxembourg.
