THE JOB:
DO RECRUITMENT ADVISORS is proud to assist this fund manager in their recruitment of a Corporate Legal Officer to support its Legal Counsel within the Luxembourg office. The role involves ensuring good corporate governance, supporting regulatory compliance, and handling legal documentation for various corporate entities.
Key responsibilities include:
-Preparing and filing corporate documents with the Luxembourg Trade and Companies Register (RCS).
-Drafting board and shareholder resolutions, organizing AGMs/EGMs, and handling documentation related to director changes and annual financial statements.
-Coordinating and documenting board meetings, preparing minutes, and maintaining corporate records.
-Preparing and managing filings for the Register of Beneficial Owners (RBE) and CSSF e-desk regulatory reporting.
-Supporting the drafting of standard legal agreements (e.g., fund management, advisory, depositary, cost-sharing agreements) under supervision.
-Handling incorporation processes of AIFs/SPVs in collaboration with notaries and service providers.
-Maintaining compliance with Luxembourg corporate and fund-related laws, including knowledge of account 115 obligations.
-Archiving and managing legal documents according to internal policies.
THE CANDIDATE PROFILE:
-A Bachelor’s degree in Law, preferably with a corporate governance focus.
-3-5 years’ experience in a corporate legal or governance role, ideally in asset management or financial services.
-Strong knowledge of Luxembourg corporate law and legal filings (RCS, RBE).
-Excellent drafting and organizational skills, with a keen eye for detail.
-Familiarity with regulatory platforms like CSSF e-desk.
-Fluency in English (written and spoken); proficiency in other languages is a plus.
-Proficient in Microsoft Office; knowledge of account 115 is advantageous.
