SENIOR CORPORATE SECRETARY- PART TIME (M/F)
THE JOB:
DO RECRUITMENT ADVISORS is proud to represent its client in his search for a Senior Associate (50% part time), to join their Luxembourg Private Equity team. The role is focused on the day-to-day corporate and legal administration of a portfolio of investment vehicles and special purpose entities (SPVs). Working within a small, collaborative Corporate Services team, you will manage a portfolio of holding companies and fund structures, liaising with internal colleagues as well as external advisors and third-party suppliers.
Key Responsibilities:
-Legal Drafting & Review:
oDraft corporate documents, including board minutes, shareholder resolutions, and internal service agreements.
oPrepare legal memos relating to key portfolio company events.
oReview legal documentation related to transactions.
-Corporate Administration:
oOrganize board meetings, including attendee coordination, board pack preparation, and tracking proxies.
oMaintain filings with relevant Luxembourg registries (RCS & RBE).
oUpdate share registers and maintain structure charts and ownership chain documentation.
oManage shareholder relationships and related administrative tasks.
oCoordinate signatures, audit confirmations, general correspondence, and internal database updates.
THE CANDIDATE PROFILE:
-University degree in law.
-Minimum 5 years’ experience in legal-corporate administration, preferably within financial or legal services; fund experience is an advantage.
-Strong knowledge of Luxembourg legal and corporate law.
-Excellent Microsoft Office skills.
-Fluent in English; strong proficiency in French, German, or Luxembourgish is a plus.
-Meticulous attention to detail with a focus on high-quality output.
-Ability to work under pressure, meet tight deadlines, and work autonomously.
-Excellent organizational and time management skills.
-Strong communication skills, both verbal and written.
-Team-oriented, eager to learn, and adaptable in a dynamic environment.
