THE JOB:
Our client, a growing and well-established Alternative Investment Fund Manager (AIFM) based in Luxembourg, is seeking an experienced In-House Legal Counsel to join its Luxembourg legal team.
This is a core, high-impact in-house position providing legal support both to the AIFM entity and to the alternative investment funds under management. The role offers broad exposure to Private Credit, Infrastructure, Fund of Funds and Private Equity strategies, within a highly regulated and international environment.
AIFM & REGULATORY ADVISORY:
• Provide day-to-day legal support to the AIFM entity, covering governance, regulatory and operational matters.
• Advise on AIFMD-related obligations, including organisational, delegation, substance, risk management and conduct of business requirements.
• Support and coordinate interactions with the CSSF, including regulatory filings, notifications and responses to supervisory queries.
• Assist in the development, implementation and ongoing maintenance of internal policies, procedures and regulatory frameworks applicable to the AIFM.
• Support corporate governance matters of the AIFM (board resolutions, minutes, governance documentation, internal committees).
• Monitor Luxembourg and EU regulatory developments impacting AIFMs and alternative investment funds and translate regulatory change into practical implementation.
FUND STRUCTURING & INVESTMENT LEGAL SUPPORT:
• Provide legal advice on the structuring, launch and ongoing operation of alternative investment funds, including RAIF, SCSp, ELTIF and SICAV structures.
• Draft, review and negotiate fund documentation, including:
• Private Placement Memoranda (PPMs)
• Limited Partnership Agreements (LPAs)
• Management, advisory and delegation agreements
• Side letters and investor-specific arrangements
• Support fund closings and investor onboarding processes.
• Review and negotiate transaction-related documentation and commercial agreements with portfolio companies, service providers and counterparties.
• Coordinate and manage external legal counsels across multiple jurisdictions.
CORPORATE GOVERNANCE & LEGAL OPERATIONS:
• Organise and coordinate board and governance meetings of the AIFM and relevant fund entities (agenda preparation, board packs, minutes, follow-ups).
• Draft resolutions, powers of attorney and corporate documentation.
• Ensure proper maintenance of statutory records and regulatory documentation.
• Contribute to structured legal documentation management and efficient legal department processes.
• Support budget monitoring and management of external legal spend.
THE CANDIDATE PROFILE:
• Fully qualified lawyer (Luxembourg-qualified or EU-qualified with strong Luxembourg fund/AIFM experience).
• Minimum 5 years of post-qualification experience gained in a top-tier law firm and/or in-house within an AIFM, ManCo or asset manager.
• Strong technical expertise in alternative investment funds and AIFM legal frameworks.
• Solid understanding of AIFMD, CSSF practice and Luxembourg fund regulation.
• Experience with private equity, private credit, infrastructure and/or fund of funds structures is highly desirable.
• Proven ability to operate as a trusted legal advisor to senior stakeholders in a regulated environment.
• Excellent drafting, negotiation and communication skills.
• Pragmatic, business-focused and solution-oriented mindset.
• Strong organisational skills and ability to manage multiple workstreams.
• Fluency in English; French and/or German is considered an asset.
