THE CLIENT:
DO RECRUITMENT ADVISORS are thrilled to represent a leading investment fund manager in the global energy and infrastructure sector, in their search for a dedicated professional to join their Luxembourg office.
The successful candidate will join a small team in Luxembourg, reporting to the Head of Luxembourg and working closely with operations and investment teams primarily in the US and UK. They will support the management of investment companies incorporated in Luxembourg and other jurisdictions throughout their full life cycle, from setup and transaction closing to ongoing management and realization.
Responsibilities include:
-Hosting board meetings for Luxembourg investment companies, acting as Company Secretary;
-Implementing legal documentation for Luxembourg investment companies, including producing board minutes and coordinating and reviewing documentation prepared by counsel;
-Serving as an expert on the structure of Luxembourg investment companies and their integration into the broader fund and management company structures;
-Maintaining corporate records, including in the entity management database, updating securities registers, and keeping company books electronically and in hard copies as required;
-Managing Luxembourg corporate and regulatory filings, including submissions to the Registre de commerce et des sociétés (RCS) and Registre des Bénéficiaires Effectifs (RBE);
-Leading Luxembourg KYC/AML procedures with third parties, in coordination with the US Company Secretary;
-Providing ad hoc advice and local expertise/network support to wider operations involving Luxembourg-domiciled funds;
-Liaising directly with third parties such as lawyers, notaries, banks, and service providers.
THE CANDIDATE PROFILE:
-4+ years of experience working as a Corporate Officer or in a similar role;
-Strong technical foundation with a good understanding of regulatory and compliance matters;
-Knowledge of corporate structures and Luxembourg funds;
-Enthusiastic attitude, drive, and willingness to learn;
-Organized, detail-oriented, and hands-on approach;
-Ability to work autonomously as well as part of a team;
-Strong prioritization skills and flexibility;
-Fluent in English, with French and/or Spanish being advantageous;
-Proficiency in MS Office, including MS Word and MS Excel.
