GOVERNANCE OFFICER (M/F)
THE JOB:
This full-time role within the Company Secretariat team of our client’s General Counsel division is an excellent opportunity for someone with relevant company secretarial experience. In this position, you will provide high-quality, value-add company secretarial and governance support to various corporate entities and funds, ensuring full compliance with legal and regulatory requirements. You will work closely with internal teams across Europe, Asia, and Bermuda as well as external advisors, including auditors and legal experts.
Key Responsibilities:
-Secretarial Support: Assist in managing the corporate affairs of funds and entities within the private asset/real estate sector.
-Compliance: Ensure adherence to all applicable local laws and regulations.
-Meeting Coordination: Organize and support the preparation of Board, Committee, and other statutory meetings. This includes drafting agendas and resolutions, securing necessary internal sign-offs, and ensuring board papers are accurate and complete.
-Regulatory Filings: Manage and ensure timely completion of all legal and regulatory filings.
-Governance & Operational Support: Facilitate smooth governance and operational processes throughout the corporate lifecycle, including document execution as required.
-Project Involvement: Actively participate in key projects, such as establishing new fund structures.
-Governance Frameworks: Support the maintenance of robust corporate governance frameworks and ensure appropriate key man cover.
THE CANDIDATE PROFILE:
-Experience: Minimum of 3 years’ experience in a company secretarial role (or equivalent), ideally with exposure to the real estate/private assets sector.
-Communication: Excellent business English skills, both written and verbal.
-Autonomy & Teamwork: Ability to work independently while being an effective team player.
-Attention to Detail: Exceptional accuracy and meticulousness in managing corporate documents and processes.
-Delivery Focus: A strong « can do » attitude with the capacity to manage multiple priorities effectively.
-Regulatory Knowledge: Sound understanding of local legal and regulatory requirements.
-Resilience: Ability to thrive in a dynamic, fast-paced environment while maintaining high performance.
