THE JOB:
Our client, an international asset management company based in Luxembourg, is seeking a Legal & Corporate Associate to join its high-performing team. The role combines legal advisory, regulatory, fund structuring, and corporate governance responsibilities, with a strong focus on Luxembourg and European financial services regulation.
Legal & Regulatory Advisory:
-Advise and support Luxembourg-based business activities on applicable laws and regulations, including impact analyses and implementation of new regulatory requirements.
-Provide legal guidance across business units, ensuring alignment with internal policies and regulatory frameworks.
-Support management in Luxembourg and the Paris branch on a broad range of legal, regulatory, contractual, and corporate matters.
-Participate in governance and control processes, including review of new business initiatives within the New Product Approval process.
-Conduct legal research and maintain up-to-date regulatory knowledge.
Fund Structuring & Investment Vehicles
-Support the establishment, structuring, and maintenance of investment funds and related entities.
-Draft and negotiate fund documentation, including constitutional documents, agreements, and side letters.
-Assist with fund launches and closings, and manage related communications with investors and third parties.
-Ensure ongoing compliance with Luxembourg AIFM requirements and applicable EU regulations.
Corporate Governance & Company Secretarial
-Organise and coordinate Board, Conducting Officer Committee, and governance-related meetings (agenda preparation, board packs, minutes, follow-ups).
-Draft board resolutions, powers of attorney, circular resolutions, and regulatory filings.
-Maintain statutory registers and corporate records, ensuring timely filings with the Luxembourg Trade and Companies Register and other authorities.
-Liaise with regulators, auditors, notaries, legal counsel, and other external stakeholders.
-Respond to regulatory and audit queries.
Contract Management
-Manage the full contract lifecycle from drafting through negotiation and execution.
-Review and negotiate commercial and service provider agreements, including NDAs.
-Ensure legal, commercial, and regulatory consistency across contractual arrangements.
-Develop and maintain templates (NDAs, disclaimers, checklists, standard agreements).
-Oversee legal documentation tracking using legal technology tools.
Legal Operations Support
-Monitor legal billing and budget tracking.
-Maintain structured legal documentation systems (SharePoint and board portals).
-Contribute to efficient legal department processes and administrative robustness.

THE CANDIDATE PROFILE:
-University degree in Law with strong funds corporate secretarial/legal experience in Luxembourg.
-5+ years’ experience in a legal, corporate secretarial, or regulatory role within Luxembourg, ideally in asset management, AIFM, or financial services.
-Experience in fund structures such as Limited Partnerships, open-ended and closed-ended funds, and structured vehicles is advantageous.
-Strong knowledge of Luxembourg company law and corporate governance requirements, AIFM framework and Luxembourg regulatory environment
-European financial services regulations (including AML, GDPR, MAR, MiFID II, EMIR)
-Experience drafting and negotiating commercial/service provider contracts and NDAs.
-Familiarity with regulatory filings and registry processes.
-Excellent drafting skills and attention to detail.
-Strong organisational and governance coordination capabilities.
-Ability to manage multiple stakeholders in a complex shareholder environment.
-Can-do attitude, apable of working independently while maintaining strong collaboration across departments.
-Proficient in MS Office (Word, Excel, Outlook, SharePoint).
-Fluent in English; French is an asset.
