SENIOR CORPORATE OFFICER – FUND & AIFM GOVERNANCE
THE JOB:
Our client is looking for a highly motivated and autonomous Senior Corporate Officer to join their dynamic and growing team. In this role, you will be responsible for managing the full corporate life cycle of a portfolio of entities, including private equity fund vehicles and AIFMs. You will act as a key point of contact for corporate governance and legal coordination in an international, fast-paced environment.
Responsibilities:
-Coordinate legal and corporate matters related to private equity fund vehicles, including preparation and review of legal documentation and overseeing signing processes.
-Manage the entire lifecycle of corporate governance: organize board and shareholder meetings (quarterly and annual), draft board and shareholder resolutions, prepare proxies, take minutes, and manage filings.
-Maintain up-to-date corporate documentation (legal instruments, share registers, investor materials, investment documentation, etc.).
-Manage investor-related data: capital calls, distributions, commitments, KYC/AML, contact and tax details.
-Coordinate fund closings and signing processes in collaboration with internal and external stakeholders (legal advisors, banks, etc.).
-Support the setup of new private equity fund structures, liaising with legal and financial partners.
-Ensure proper execution, review, and archiving of legal documentation.
-Handle ongoing KYC requests from banks, auditors, and investors in line with internal compliance policies.
-Maintain an accurate and up-to-date digital archive of all legal and investor-related documentation.
THE CANDIDATE PROFILE:
-4+ years of experience in a similar role within the fund industry or an asset management company in Luxembourg.
-Proven experience with Luxembourg private equity fund structures and their regulatory framework (AIFMD, company law, AML/KYC, etc.).
-Strong knowledge of legal and administrative processes related to fund governance.
-Excellent drafting skills for resolutions, minutes, and corporate documents.
-Full professional proficiency in English and French (both written and spoken).
-Proficient in Microsoft Office tools, especially Excel, Word, and PowerPoint.
